1. Who we are

SahiURL ("we", "us", "our") provides an AI-powered link shortening, redirection, analytics, and monetization platform (the "Service"). Our legal entity: SahiURL Technologies Private Limited, incorporated in Republic of India.

2. Acceptance

By creating an account, using the Service, or clicking "Create account," you agree to these Terms and the documents referenced here: Acceptable Use Policy, Privacy Policy, Cookie Policy, Payments & Payout Terms, and Copyright/DMCA Policy (collectively, "Agreement"). If you do not agree, do not use the Service.

3. Eligibility

You must be at least 18 years old.
You must have authority to bind any organization you register on behalf of.
You are not barred from using the Service under applicable laws or sanctions.

4. The Service

We provide: link shortening; redirection; basic to advanced analytics (clicks, geos, devices, referrers); monetization via third-party ad/offer networks; anti-fraud/abuse controls; and optional tools (APIs, web, mobile, Telegram integrations). We may modify, suspend, or discontinue features at any time with reasonable notice when feasible.

5. Your account; KYC

Provide accurate info. Keep credentials confidential. You are responsible for activities under your account.
For payouts and fraud prevention, we may require KYC (e.g., PAN, GSTIN, UPI/bank info, government ID). We may use third-party KYC providers. Failure to pass KYC or submit documents can result in withheld or canceled payouts.

6. Your content; license

You own your content and the URLs you submit. You represent and warrant you have all rights to link to, direct users to, or monetize such content.
You grant us a non-exclusive, worldwide, royalty-free license to use, cache, copy, display, and transmit the URLs and associated metadata solely to operate and improve the Service.
We do not host your destination content. Redirection is automated, subject to filters and compliance.

7. Prohibited uses

You must comply with the Acceptable Use Policy (incorporated by reference). Violations may lead to link block, account suspension, termination, and forfeiture of unpaid earnings in cases of fraud/illegal activity.

8. Monetization; third parties

Monetization is facilitated via third-party ad networks and partners. Rates vary by geography, device, quality, and demand.
We do not guarantee earnings, CPMs, or fill. We may adjust routing and rates at any time.
You must comply with partner terms and applicable laws in all target geographies.

9. Payments & payouts

See Payments & Payout Terms. In summary: minimum threshold; payout schedule; currencies; fees; invalid-traffic adjustments; chargebacks; withholdings for fraud, legal risk, or compliance; tax requirements (e.g., TDS). We may set off amounts you owe us against amounts we owe you.

10. Intermediary status (India)

We claim intermediary safe harbour under Section 79 of the Information Technology Act, subject to compliance with due diligence under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (as amended). Upon obtaining actual knowledge via valid notice or court/government order, we will act expeditiously to remove or disable access to unlawful content/links.

11. Term; termination; suspension

You may stop using the Service anytime.
We may suspend or terminate your account with or without notice for: AUP violations; suspected fraud; illegal activity; risk to users; non-payment; or legal/regulatory issues.
On termination, links may stop resolving; we may retain data as required by law and for legitimate business purposes. In cases of fraud/abuse, we may forfeit unpaid balances.

12. Warranties; disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties (merchantability, fitness, non-infringement, accuracy, uninterrupted availability).
We do not guarantee earnings, traffic quality, or that redirects will always be available.

13. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, punitive, or consequential damages, loss of profits, revenues, data, or goodwill.
Our aggregate liability arising out of or relating to the Agreement shall not exceed the greater of ₹25,000 INR or the amounts paid by us to you in the 3 months preceding the event giving rise to liability.

14. Indemnity

You will defend, indemnify, and hold harmless SahiURL, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your content, your use of the Service, your breach of this Agreement, or violation of law or third-party rights.

15. Governing law; disputes

This Agreement is governed by the laws of India.
Dispute resolution: arbitration under the Arbitration and Conciliation Act, 1996. Seat and venue: New Delhi. One arbitrator, English language. Courts at New Delhi have exclusive jurisdiction for injunctive relief and to aid arbitration.
No class actions; claims must be brought individually (subject to local law).

16. Changes

We may update this Agreement. For material changes, we will notify you (email or in-product) at least 15 days in advance when feasible. Continued use after the effective date constitutes acceptance.

17. Miscellaneous

Assignment; force majeure; severability; no waiver; entire agreement; export/sanctions compliance; survival of clauses (license, payments, indemnity, liability, governing law).
